For BINK32.DLL error just run Max Payne 2 in windows 98/millenium compatibility mode.

If you're having trouble with sound (some sounds don't play/ messed up) there is a patch for that. Just copy all the files into Max Payne root directory and run Max.bat. It will convert files and the sounds will be ok (although low quality since it's an old game :))
